Business Coaching Agreement – The Private Practice Pro

NOTICE:

These Terms and Conditions of Use govern your participation in business coaching services provided by The Private Practice Pro (“Coach”). Please read them carefully before engaging in any coaching sessions.

Coaches: Kelley Stevens via The Private Practice Pro and Amanda Smith via The Passive Practice

COACH-CLIENT RELATIONSHIP

Coaching is a creative partnership designed to help you maximize your professional potential. You acknowledge that all decisions and actions taken as a result of coaching are your sole responsibility. Coaching does not substitute for therapy or professional advice, and the Coach is not liable for any direct or indirect results.

You may terminate this agreement at any time with at least 48 hours’ notice. The Coach will attempt in good faith to conclude any outstanding engagements upon notice of termination.

SERVICES

The Coach will provide hourly business coaching via Zoom. Additional support (e.g., document review or report writing) may be provided at a prorated rate of $350 per hour, with time estimates provided in advance.

SCHEDULE AND FEES

  • Effective Date: Upon signature or first payment
  • Rate: $350 per hour
  • Billing: Charged at booking; no refunds for services rendered

CONFIDENTIALITY

The Coach will not disclose your confidential information without your written consent, except as required by law or to prevent harm. Confidential information does not include information already known to the Coach, publicly available data, or information obtained independently.

CANCELLATION POLICY

You agree to provide at least 48 hours’ notice to cancel or reschedule a session. The Coach reserves the right to charge for missed appointments and will attempt to reschedule in good faith.

LIMITED LIABILITY

The Coach makes no guarantees and shall not be liable for any indirect, consequential, or special damages. The Coach’s total liability is limited to the fees you have paid for coaching services under this agreement.

ENTIRE AGREEMENT

This document constitutes the entire agreement between you and the Coach and supersedes all prior discussions. Amendments must be in writing and signed by both parties.

MEDIATION AND ARBITRATION

Disputes not resolved within 60 days of notice shall first be submitted to mediation under the American Arbitration Association Commercial Mediation Procedures. If unresolved, claims will be arbitrated under AAA Commercial Arbitration Rules in Santa Barbara, California, governed by California law. The arbitrator may award fees and costs to the prevailing party but will not award punitive or consequential damages.
